Course Overview

COURSE INTRODUCTION


The characteristics of a corporation and its advantages has made companies the most popular business models for carrying out businesses. Corporate Law is that branch of law which deals with the incorporation and management of companies. Corporate law deals with the structuring of companies, the relationship between the shareholders and the directors of the company and the rights of sharehold ers. Corporate law assumes prominence in the legislative milieu as it regulates business organisations to protect the interests of investors and to ensure transparency and ac countability in corporate activities. The course is designed to enable the students to understand the basic laws gov erning companies, its management and administration.


COURSE OBJECTIVES


On successful completion of the course the student will be able to

  • 1. Understand the business models available for doing business, the advantages and disadvantages of each business model.
  • 2. Appraise the legal framework governing companies. 3. Understand the contracts that are entered into for carrying out the business.
  • 4. Understand different methods of raising capital and sources of corporate finance
  • 5. Appraise the life cycle of companies, the structural changes which a company undergoes and the legal framework governing resolution of corporate insolvency.
